  8. J-TERM PRO END USER LICENSE AGREEMENT
  9.  
  10. This Agreement has 3 parts.  Part I applies if you 
  11. have not purchased a license to the accompanying 
  12. software (the "Software").  Part II applies if you 
  13. have purchased a license to the Software.  Part III 
  14. applies to all license grants.  If you initially 
  15. acquired a copy of the Software without purchasing 
  16. a license and you wish to purchase a license, contact 
  17. Jones Automation, Inc. (JAI) on the web at 
  18. http://www.jonesautomation.com or by 
  19. telephone at (205) 864-0068.

  21. PART I -- TERMS APPLICABLE WHEN LICENSE FEES NOT 
  22. (YET) PAID (LIMITED TO EVALUATION USE) GRANT.
  23.  
  24. JAI grants you a non-exclusive license to use the 
  25. Software free of charge if your use of the Software 
  26. is for the purpose of evaluating whether to purchase 
  27. an ongoing license to the Software.  The evaluation 
  28. period is limited to 30 days. If you are using the 
  29. Software free of charge, you are not entitled to 
  30. hard-copy documentation (where available), support 
  31. or telephone assistance (except to report possible 
  32. bugs in Software).
  33.  
  34. DISCLAIMER OF WARRANTY.
  35.  
  36. Free of charge Software is provided on an "AS IS" 
  37. basis, without warranty of any kind, including without
  38. limitation the warranties of merchantability, fitness 
  39. for a particular purpose and non-infringement. The 
  40. entire risk as to the quality and performance of the 
  41. Software is borne by you.  Should the Software prove 
  42. defective, you and not JAI assume the entire cost of 
  43. any service and repair. This disclaimer of warranty 
  44. constitutes an essential part of the agreement. SOME 
  45. JURISDICTIONS DO NOT ALLOW EXCLUSIONS OF AN IMPLIED 
  46. WARRANTY, SO THIS DISCLAIMER MAY NOT APPLY TO YOU AND 
  47. YOU MAY HAVE OTHER LEGAL RIGHTS THAT VARY BY 
  48. JURISDICTION.

  51. PART II -- TERMS APPLICABLE WHEN LICENSE FEES PAID
  52.  
  53. GRANT. Subject to payment of applicable license 
  54. fees, JAI grants to you a non-exclusive license 
  55. to use the Software and accompanying documentation 
  56. ("Documentation") in the manner described in Part III
  57. below under "Scope of Grant."
  58.  
  59. LIMITED WARRANTY.
  60.  
  61. JAI warrants that for a period of ninety (90) 
  62. days from the date of acquisition, the Software, 
  63. if operated as directed, will substantially achieve 
  64. the functionality described in the Documentation. 
  65. JAI does not warrant, however, that your use of the 
  66. Software will be uninterrupted or that the operation 
  67. of the Software will be error-free. JAI also warrants 
  68. that the media containing the Software, if provided 
  69. by JAI, is free from defects in material and workmanship 
  70. and will so remain for ninety (90) days from the date 
  71. you acquired the Software. JAI's sole liability for any 
  72. breach of this warranty shall be, in JAI's sole discretion:
  73. to replace your defective media; or to advise you how to 
  74. achieve substantially the same functionality with the 
  75. Software as described in the Documentation through a 
  76. procedure different from that set forth in the 
  77. documentation; or if the above remedies are impracticable, 
  78. to refund the license fee you paid for the Software. 
  79. Repaired, corrected, or replaced Software and Documentation 
  80. shall be covered by this limited warranty for the 
  81. period remaining under the warranty that covered the 
  82. original Software, or if longer, for thirty (30) days after 
  83. the date (a) of shipment to you of the repaired or 
  84. replaced Software, or(b) JAI advised you how to operate the 
  85. Software so as to achieve the functionality described in the
  86. Documentation. Only if you inform JAI of your problem with 
  87. the Software during the applicable warranty period and 
  88. provide evidence of the date you purchased a license to 
  89. the Software will JAI be obligated to honor this warranty. 
  90. JAI will use reasonable commercial efforts to repair, 
  91. replace, advise or, for individual consumers, refund 
  92. pursuant to the foregoing warranty within 30 days of being 
  93. so notified.

  95. THIS IS A LIMITED WARRANTY AND IT IS THE ONLY WARRANTY 
  96. MADE BY JAI. JAI MAKES NO OTHER EXPRESS WARRANTY AND NO 
  97. WARRANTY OF NONINFRINGEMENT OF THIRD PARTIES' RIGHTS. THE 
  98. DURATION OF IMPLIED WARRANTIES, INCLUDING WITHOUT 
  99. LIMITATION, WARRANTIES OF MERCHANTABILITY AND OF FITNESS 
  100. FOR A PARTICULAR PURPOSE, IS LIMITED TO THE ABOVE LIMITED 
  101. WARRANTY PERIOD; SOME JURISDICTIONS DO NOT ALLOW LIMITATIONS 
  102. ON HOW LONG AN IMPLIED WARRANTY LASTS, SO LIMITATIONS MAY 
  103. NOT APPLY TO YOU. NO JAI DEALER, AGENT, OR EMPLOYEE IS 
  104. AUTHORIZED TO MAKE ANY MODIFICATIONS, EXTENSIONS, OR 
  105. ADDITIONS TO THIS WARRANTY.

  107. If any modifications are made to the Software by you during 
  108. the warranty period; if the media is subjected to accident, 
  109. abuse, or improper use; or if you violate the terms of this 
  110. Agreement, then this warranty shall immediately be terminated. 
  111. This warranty shall not apply if the Software is used on or 
  112. in conjunction with hardware or software other than the 
  113. unmodified version of hardware and software with which the 
  114. software was designed to be used as described in the 
  115. Documentation.  THIS WARRANTY GIVES YOU SPECIFIC LEGAL 
  116. RIGHTS, AND YOU MAY HAVE OTHER LEGAL RIGHTS THAT VARY BY 
  117. JURISDICTION.
  118.  
  119. PART III -- TERMS APPLICABLE TO ALL LICENSE GRANTS
  120.  
  121. SCOPE OF GRANT.
  122.  
  123. You may:
  124.   * use the Software on any single computer;
  125.   * use the Software on a network, provided that each
  126.     person accessing the Software through the network
  127.     must have a copy licensed to that person;
  128.   * use the Software on a second computer so long as only
  129.     one copy is used at a time;
  130.   * copy the Software for archival purposes, provided any
  131.     copy must contain all of the original Software's
  132.     proprietary notices; or
  133.  
  134. You may not:
  135.   * permit other individuals to use the Software except
  136.     under the terms listed above;
  137.   * permit concurrent use of the Software;
  138.   * modify, translate, reverse engineer, decompile,
  139.     disassemble (except to the extent applicable laws
  140.     specifically prohibit such restriction), or create
  141.     derivative works based on the Software;
  142.   * copy the Software other than as specified above;
  143.   * rent, lease, grant a security interest in, or
  144.     otherwise transfer rights to the Software; or
  145.   * remove any proprietary notices or labels on the
  146.     Software.
  147.  
  148. TITLE.
  149.  
  150. Title, ownership rights, and intellectual property rights in 
  151. the Software shall remain in JAI and/or its suppliers. The 
  152. Software is protected by the copyright laws and treaties. 
  153. Title and related rights in the content accessed through 
  154. the Software is the property of the applicable content 
  155. owner and may be protected by applicable law. This License 
  156. gives you no rights to such content.
  157.  
  158. TERMINATION.
  159.  
  160. The license will terminate automatically if you fail to 
  161. comply with the limitations described herein.  On 
  162. termination, you must destroy all copies of the Software 
  163. and Documentation.
  164.  
  165. LIMITATION OF LIABILITY. 
  166.  
  167. UNDER NO CIRCUMSTANCES AND UNDER NO LEGAL THEORY, TORT, 
  168. CONTRACT, OR OTHERWISE, SHALL JAI OR ITS SUPPLIERS OR 
  169. RESELLERS BE LIABLE TO YOU OR ANY OTHER PERSON FOR ANY 
  170. INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES 
  171. OF ANY CHARACTER INCLUDING, WITHOUT LIMITATION, DAMAGES 
  172. FOR LOSS OF GOODWILL, WORK STOPPAGE, COMPUTER FAILURE OR 
  173. MALFUNCTION, OR ANY AND ALL OTHER COMMERCIAL DAMAGES OR 
  174. LOSSES. IN NO EVENT WILL JAI BE LIABLE FOR ANY DAMAGES 
  175. IN EXCESS OF THE AMOUNT JAI RECEIVED FROM YOU FOR A 
  176. LICENSE TO THE SOFTWARE, EVEN IF JAI SHALL HAVE BEEN 
  177. INFORMED OF THE POSSIBILITY OF SUCH DAMAGES, OR FOR ANY 
  178. CLAIM BY ANY OTHER PARTY. THIS LIMITATION OF LIABILITY 
  179. SHALL NOT APPLY TO LIABILITY FOR DEATH OR PERSONAL 
  180. INJURY TO THE EXTENT APPLICABLE LAW PROHIBITS SUCH 
  181. LIMITATION.FURTHERMORE, SOME JURISDICTIONS DO NOT ALLOW 
  182. THE EXCLUSION OR LIMITATION OF INCIDENTAL OR 
  183. CONSEQUENTIAL DAMAGES, SO THIS LIMITATION AND EXCLUSION 
  184. MAY NOT APPLY TO YOU.
  185.  
  186. HIGH RISK ACTIVITIES.
  187.  
  188. The Software is not fault-tolerant and is not designed, 
  189. manufactured or intended for use or resale as on-line
  190. control equipment in hazardous environments requiring 
  191. fail-safe performance, such as in the operation of nuclear 
  192. facilities, aircraft navigation or communication systems, 
  193. air traffic control, direct life support machines, or 
  194. weapons systems, in which the failure of the Software 
  195. could lead directly to death, personal injury, or severe 
  196. physical or environmental damage ("High Risk Activities").
  197. JAI and its suppliers specifically disclaim any express or 
  198. implied warranty of fitness for High Risk Activities.
  199.  
  200. MISCELLANEOUS.
  201.  
  202. If the copy of the Software you received was accompanied 
  203. by a printed or other form of "hard-copy" End User License 
  204. Agreement whose terms vary from this Agreement, then the 
  205. hard-copy End User License Agreement governs your use 
  206. of the Software.  This Agreement represents the complete 
  207. agreement concerning this license and may amended only by 
  208. a writing executed by both parties. THE ACCEPTANCE OF ANY 
  209. PURCHASE ORDER PLACED BY YOU IS EXPRESSLY MADE CONDITIONAL 
  210. ON YOUR ASSENT TO THE TERMS SET FORTH HEREIN, AND NOT 
  211. THOSE IN YOUR PURCHASE ORDER.
  212. If any provision of this Agreement is held to be 
  213. unenforceable, such provision shall be reformed only to
  214. the extent necessary to make it enforceable.  This 
  215. Agreement shall be governed by Alabama law (except for
  216. conflict of law provisions). The application the United 
  217. Nations Convention of Contracts for the international 
  218. Sale of Goods is expressly excluded.
  219.  
  220. U.S. GOVERNMENT RESTRICTED RIGHTS.  Use, duplication 
  221. or disclosure by the Government is subject to restrictions 
  222. set forth in subparagraphs (a) through (d) of the 
  223. Commercial Computer-Restricted Rights clause at 
  224. FAR 52.227-19 when applicable, or in subparagraph (c)(1)(ii)
  225. of the Rights in Technical Data and Computer Software clause
  226. at DFARS 252.227-7013, or at 252.211-7015, or to JAI's 
  227. standard commercial license, as applicable, and in similar 
  228. clauses in the NASA FAR Supplement. Contractor/manufacturer
